Términos del servicio

Estos términos regulan el uso de la plataforma Latzu, operada por Latzu, Inc., sociedad constituida en Delaware (EE. UU.) con sede en Nueva York, con oficina de operaciones en 8910 35th Avenue, Jackson Heights, Queens, New York 11372, USA. Al crear una cuenta o usar el servicio, la empresa que lo contrata («el cliente») los acepta.

1. Qué es Latzu

Latzu es una plataforma de software como servicio que permite a una empresa conectar sus canales de mensajería (como WhatsApp Business, Instagram, Messenger, Telegram y correo electrónico) y sus datos operativos, y configurar agentes de inteligencia artificial que atienden a sus contactos, agendan, registran información y derivan conversaciones a personas del equipo, con registro y aprobación de las acciones.

2. Cuenta y acceso

Para usar Latzu hay que crear una cuenta con datos veraces y tener capacidad legal para obligar a la empresa. El cliente es responsable de quién accede a su espacio de trabajo, de los roles que asigna y de mantener sus credenciales en reserva. Debe avisarnos de inmediato de cualquier acceso no autorizado.

3. Uso aceptable

El cliente se compromete a usar Latzu conforme a la ley y a las políticas de los canales que conecte, en particular los Términos de la Plataforma de Meta, la Política de Mensajería de WhatsApp Business y la Política de Comercio. En concreto, no puede:

  • Enviar mensajes no solicitados, spam o comunicaciones a personas que no dieron su autorización.
  • Usar el servicio para actividades ilícitas, engañosas, discriminatorias o que vulneren derechos de terceros.
  • Hacer pasar a un agente automático por una persona cuando el contacto pregunta si habla con una persona.
  • Intentar acceder a datos de otros clientes, eludir medidas de seguridad o sobrecargar el servicio.
  • Revender el servicio sin acuerdo escrito.

Podemos suspender una cuenta que incumpla estas reglas, avisando al cliente salvo que la urgencia o la ley lo impidan.

4. Datos del cliente

Los datos que el cliente carga, conecta o recibe por sus canales son del cliente. Latzu los trata como encargado, sólo para prestar el servicio y conforme a la Política de privacidad (https://www.latzudigital.com/privacy). El cliente es responsable de contar con la autorización de sus contactos para tratar sus datos y para contactarlos por cada canal, y de atender las solicitudes de sus titulares; Latzu lo asiste en ello.

5. Inteligencia artificial

Los agentes generan respuestas con modelos de lenguaje y pueden cometer errores. Latzu ofrece controles —reglas, aprobación humana, registro de cada acción y derivación a personas— y el cliente es responsable de configurarlos según el riesgo de su operación y de supervisar los resultados. Latzu no presta asesoría médica, legal ni financiera, y los agentes no deben usarse para sustituir el criterio profesional.

6. Planes, precios y pagos

El servicio se ofrece por suscripción, con un período de prueba y planes con topes de uso publicados en el sitio. Los pagos se procesan a través de Stripe y se cobran por adelantado en cada período. El cliente puede cambiar de plan o cancelar en cualquier momento desde su cuenta; la cancelación surte efecto al final del período pagado. Al superar el tope del plan, los agentes pueden dejar de contestar de forma automática y derivar las conversaciones al equipo del cliente, según lo indique el plan. Avisaremos con al menos 30 días de anticipación cualquier cambio de precio.

7. Servicios de terceros

Latzu depende de servicios de terceros, como Meta, Google, Microsoft y Stripe; la lista completa de los que tratan datos está en la Política de privacidad. Su disponibilidad, sus políticas y sus costos (por ejemplo, las tarifas de conversación de WhatsApp) están fuera de nuestro control, y el cliente debe cumplir sus términos. No respondemos por interrupciones o decisiones de esos terceros, incluida la suspensión de una cuenta de WhatsApp Business por parte de Meta.

8. Propiedad intelectual

La plataforma, su código, su diseño y sus marcas son de Latzu. El cliente recibe una licencia limitada, no exclusiva e intransferible para usarla mientras su suscripción esté vigente. El cliente conserva todos los derechos sobre sus datos y contenidos.

9. Disponibilidad y soporte

Trabajamos para que el servicio esté disponible de forma continua, pero puede haber interrupciones por mantenimiento, fallas o causas ajenas. El estado del servicio se puede consultar en https://www.latzudigital.com/estado. El soporte se presta por correo en hello@latzudigital.com.

10. Limitación de responsabilidad

El servicio se presta «tal cual». En la medida que la ley lo permita, Latzu no responde por daños indirectos, lucro cesante ni pérdida de datos causada por el cliente o por terceros, y su responsabilidad total frente al cliente se limita a lo que éste pagó por el servicio en los doce meses anteriores al hecho. Nada de esto limita la responsabilidad que la ley no permite limitar.

11. Terminación

El cliente puede cerrar su cuenta cuando quiera. Latzu puede terminar el servicio por incumplimiento de estos términos o por falta de pago. Cancelar la suscripción o cerrar la cuenta no borra los datos por sí solo: al terminar, el cliente puede pedir una copia de sus datos y su eliminación como se explica en https://www.latzudigital.com/data-delete.

12. Cambios

Podemos actualizar estos términos. Avisaremos los cambios relevantes por correo a los administradores de la cuenta con al menos 15 días de anticipación. Seguir usando el servicio después de esa fecha implica aceptarlos.

13. Ley aplicable

Estos términos se rigen por las leyes de la República de Colombia. Cualquier controversia se someterá a los jueces competentes de Palmira, Valle del Cauca, sin perjuicio de los derechos que la ley reconozca a los consumidores.

Terms of Service

These terms govern the use of the Latzu platform, operated by Latzu, Inc., a Delaware corporation headquartered in New York, USA, with its operations office at 8910 35th Avenue, Jackson Heights, Queens, New York 11372, USA. By creating an account or using the service, the contracting business ("the customer") accepts them.

1. The service

Latzu is a software-as-a-service platform that lets a business connect its messaging channels (such as WhatsApp Business, Instagram, Messenger, Telegram and email) and its operational data, and configure AI agents that answer its contacts, schedule, record information and hand conversations over to people on its team, with logging and approval of actions.

2. Account and access

To use Latzu you must create an account with accurate information and have the legal capacity to bind the business. The customer is responsible for who accesses its workspace, for the roles it assigns and for keeping its credentials confidential. It must notify us immediately of any unauthorized access.

3. Acceptable use

The customer agrees to use Latzu lawfully and in compliance with the policies of the channels it connects, in particular the Meta Platform Terms, the WhatsApp Business Messaging Policy and the Commerce Policy. Specifically, it may not:

  • Send unsolicited messages, spam or communications to people who have not given their consent.
  • Use the service for unlawful, deceptive or discriminatory activities, or activities that infringe third-party rights.
  • Present an automated agent as a person when a contact asks whether they are talking to a person.
  • Try to access other customers’ data, bypass security measures or overload the service.
  • Resell the service without a written agreement.

We may suspend an account that breaks these rules, notifying the customer unless urgency or the law prevents it.

4. Customer data

Data the customer uploads, connects or receives through its channels belongs to the customer. Latzu processes it as a processor, only to provide the service and under the Privacy Policy (https://www.latzudigital.com/privacy). The customer is responsible for having its contacts’ consent to process their data and to contact them through each channel, and for handling their data-subject requests; Latzu assists with this.

5. Artificial intelligence

Agents generate replies with language models and can make mistakes. Latzu provides controls —rules, human approval, a log of every action and hand-off to people— and the customer is responsible for configuring them according to the risk of its operation and for supervising the results. Latzu does not provide medical, legal or financial advice, and agents must not be used to replace professional judgment.

6. Plans, prices and payments

The service is offered by subscription, with a trial period and plans with usage caps published on the website. Payments are processed through Stripe and charged in advance for each period. The customer may change plan or cancel at any time from its account; cancellation takes effect at the end of the paid period. When the plan cap is exceeded, agents may stop answering automatically and hand conversations over to the customer’s team, as the plan states. We will give at least 30 days’ notice of any price change.

7. Third-party services

Latzu relies on third-party services such as Meta, Google, Microsoft and Stripe; the full list of those that process data is in the Privacy Policy. Their availability, policies and costs (for example, WhatsApp conversation fees) are outside our control, and the customer must comply with their terms. We are not responsible for interruptions or decisions by those third parties, including Meta suspending a WhatsApp Business account.

8. Intellectual property

The platform, its code, its design and its trademarks belong to Latzu. The customer receives a limited, non-exclusive, non-transferable license to use it while its subscription is active. The customer keeps all rights in its data and content.

9. Availability and support

We work to keep the service continuously available, but there may be interruptions for maintenance, failures or causes beyond our control. Service status is available at https://www.latzudigital.com/status. Support is provided by email at hello@latzudigital.com.

10. Limitation of liability

The service is provided "as is". To the extent permitted by law, Latzu is not liable for indirect damages, lost profits or data loss caused by the customer or by third parties, and its total liability to the customer is limited to what the customer paid for the service in the twelve months before the event. Nothing here limits liability that the law does not allow to be limited.

11. Termination

The customer may close its account at any time. Latzu may terminate the service for breach of these terms or non-payment. Cancelling the subscription or closing the account does not delete the data by itself: after termination the customer may request a copy of its data and its deletion as described at https://www.latzudigital.com/data-delete.

12. Changes

We may update these terms. We will notify account administrators by email of material changes at least 15 days in advance. Continuing to use the service after that date means accepting them.

13. Governing law

These terms are governed by the laws of the Republic of Colombia. Any dispute will be submitted to the competent courts of Palmira, Valle del Cauca, without prejudice to the rights the law grants consumers.
